Not long ago, I was looking for some way to make extra money from home but I was unsure where to begin. I did not really know anyone successfully working from home and I knew no one who could show me what to do.

For me, I needed a legitimate online business opportunity system being used successfully by others, maybe work at home moms and dads like I was who did not possess high-level internet skills. Was there a system that could help find interested prospects for me, a system that weeded out people just looking for free stuff and not serious about having a real home business?

And there would need to be people to talk to about partnering up with and beginning my business, people who had already learned how to make money advertising online.

Then a friend handed me a movie to watch that explained how to start making money from home. Before watching the movie, I had questions that I wanted answers to:

1. What did I need to do to make money with the movie?

2. How much would I be paid?

What I found that needed to be done was to hand out or mail out the movie. The movie did the presentations for me, describing the legitimate online business opportunity.

For example, obesity is a national problem and there are negative health consequences from repeated exposure to numerous household chemicals and personal products that are typically used at home every day.

I wanted to find an organization that was concerned about health and the environment, a company that would pay me each month for the business I send them.

So is it possible to find a legitimate online business opportunity that is not too complicated that can also provide extra income when working from home?

Yes, I have learned that it is possible to make money working from home. You too may be someone or know someone who is interested in making extra money working from home and supplementing their regular income with a legitimate online business opportunity.

Maximize Your Credit Card Services with Small Business Loans

Since June 15, 2009, the United States Small Business Administration has been processing deferred payment small business loans of as much as $35,000 to be given out to 10,000 small businesses. This is covered by the SBA’s America’s Recovery Capital (ARC) Loan Program.

To qualify, companies should be private enterprises that are for-profit. They should have up to five hundred employees only and should be at least two years old. Furthermore, they should be able to prove financial need with a twenty percent decrease in sales, revenue or working capital. On the other hand, they should be able to prove that one of their two years in business has been profitable, and that with the infusion of cash they will be able to meet their existing and future debt obligations. This means positive cash flow projections. The ARC small business loans are intended to be used to pay outstanding debt such as payables to vendors.

For this batch of small business loans, there are no fees or costs involved, except if the borrower defaults on the loan later. In that case the SBA-approved lender can charge costs for securing and liquidating collateral.

The ARC small business loans also do not charge interest. Actually, the SBA pays the interest for the borrowers. Disbursement of the loan can take as much as six months but payment of the principal is also deferred for the next 12 months. After that, the borrower has five years to repay the loan principal.

Each small business can only avail of one ARC loan. SBA-approved lenders will offer the loans until September 30, 2010 or until available funds run out, whichever comes first.

There are, however, an estimated 30 million small businesses in the United States and only 10,000 of them can avail of the government’s small business loans. What if you do not happen to be among the 10,000 lucky recipients? How will your small business survive?

There are even doubts being raised on whether as much as 10,000 businesses can indeed avail of the ARC loans. There are fears that there may not be enough lenders willing or able to participate in the program. Lenders will have to advance the full amount of the loan, will not receive payment on principal for a full year, and will not be able to charge any fees, thereby absorbing all administrative costs. This may be too steep for many lenders. They may not be able to afford to participate at all.

Keys to Drafting Executive Employment Agreements

An Executive Employment Agreement is a binding agreement for employment between a company and an executive. In exchange for valuable consideration given by the company, the executive is agreeing to perform certain services. In contrast to an Executive Compensation Agreement, Executive Employment Agreements are binding, and by executing the agreement, both the company and the executive are promising to perform under the agreement’s terms.

Executive Employment Agreements should begin with a “Recitals” section that lays out the overall purpose of the agreement. Each recital begins with “WHEREAS.” Generally, the first recital should state simply that the “Employer’s Board of Directors desires to employ Employee in an executive capacity and Employee desires to be so employed in that capacity.” After any other applicable recitals, the agreement should say “THEREFORE, in consideration of the mutual covenants and conditions set forth below, the parties agree as follows.”

The following are key provisions commonly found in Executive Employment Agreements:

1. Term. The length of the term of the agreement and the termination date should be provided. Also, any understanding regarding the option to renew the agreement, either on the executive’s side, the company’s side, or both, should be addressed. Most likely, the contract will be renewable or extendable under the same terms expressed in the agreement upon mutual agreement of the parties.

2. Compensation and Benefits. First, this provision should list the employee’s annual salary. Next potential salary adjustments, either increases or decreases, should be laid out. The executive may be able to negotiate for an automatic salary increase if a certain event occurs, such as a merger, sale of the company, or accomplishment of certain goals. The employee’s benefits package must also be described, including any stock options, health insurance, expense accounts, and vacation time.

3. Duties of Employee. The employee’s position should be listed again, and his expected duties should be described in detail. If the precise services of the executive may be extended or curtailed by mutual agreement, this should be listed as well. Executive should promise to undertake the responsibilities for and devote his productive time, abilities, and attention to the business of the employer during the term of the Agreement, as well as comply with all federal, state, and local laws.

4. Duties of Employer. The employer should promise to pay all compensation, benefits, and allowances as set forth in the agreement. The employer should also agree to provide offices, and if agreed upon, “stenographic help” (a secretary) as appropriate.

5. Confidential Information. The employee must agree to keep confidential information confidential and to refrain from disclosing confidential information to any third party during the term of his employment and for a period of time following his employment, which could be anywhere from one to three years or longer.

6. Non-Competition. The company should require the executive to promise not to work, directly or indirectly, as an owner, partner, manager, officer, employee, or consultant for any business that competes with the employer during the term of the agreement and for a certain period of time afterwards.

7. Termination. The agreement should spell out whether or not the employee can be terminated only for cause, or for any reason at all. If only for cause, then cause must be defined. One possible definition for cause would be: (a) any breach of any material obligations owed to employer; (b) failure to follow a directive of the company’s Board of Directors; or (c) conviction of a felony or any act involving moral turpitude. The severance pay that will be owed to executive upon termination either for cause or without cause should be provided.

These are the most important provisions of an Executive Employment Agreement. General provisions covering consequences of breach, assignment, modification, governing law, and severability should round out the agreement.
